1. About these Terms

These Terms & Conditions and Disclaimer (the "Terms") apply to www.soulbiz.com, every page, checkout, funnel, app, email and community operated by SoulBiz™ (together, the "Site"), and every product, program, course, workbook, app, coaching session, mentorship, mastermind, membership, retreat, event or other service we offer (together, the "Offers").

"SoulBiz™", "Stephanie Starr", "we", "us", "our" and "the Company" mean the business that operates the Site and the Offers, as described in section 22. "You" means anyone who visits the Site, signs up for a free resource, or buys an Offer.

By using the Site, joining our email list, or completing a purchase (including ticking the agreement box at checkout), you confirm that you are at least 18 years old, that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, please do not use the Site or buy an Offer.

2. No affiliation with Meta or any other company

SoulBiz™ is an independent business. The Site and the Offers are not part of, affiliated with, sponsored by, endorsed by or administered by Meta Platforms, Inc., Facebook, Instagram, Threads, WhatsApp, Google, YouTube, TikTok, LinkedIn, Pinterest, X, Spotify, Apple, OpenAI, Systeme.io, Stripe, PayPal or any other company, platform or brand mentioned on the Site.

All third party names, logos and trademarks belong to their owners and are used only to describe or identify their products. Mentioning or teaching about a platform does not mean that platform supports or approves of us.

We do not control third party platforms and are not responsible for their rules, algorithm changes, account restrictions, suspensions, outages or policy changes, or for any effect these have on your business.

3. Educational purposes only: not professional advice

Everything on the Site and in the Offers, including coaching, mentorship, trainings, podcasts, emails, social media content, workbooks, templates, prompts and apps, is provided for general educational and informational purposes only.

Stephanie Starr is a life coach and business strategist. She is not a licensed or certified:

✦  financial advisor, financial planner, financial analyst, investment advisor, economist, accountant or CPA;

✦  lawyer, notary or paralegal;

✦  therapist, psychologist, psychiatrist, counsellor or social worker; or

✦  medical doctor, nurse, naturopath or other licensed health care professional.

Nothing we provide is, or should be relied on as, financial, investment, tax, accounting, legal, medical, psychological, psychiatric or mental health advice, diagnosis or treatment. Coaching is not therapy and is not a substitute for therapy, counselling or medical care. Our work does not create a doctor and patient, therapist and client, lawyer and client, or advisor and client relationship.

Always consult a qualified, licensed professional before making financial, legal, tax, medical or mental health decisions. Do not stop, start or change any medication or treatment because of anything you learn from us. If you are in crisis or thinking about harming yourself, contact your local emergency services or a crisis line right away.

Mindset, neuroscience and quantum physics. Stephanie draws on her knowledge of personal development, psychology, neuroscience and quantum physics in her mindset work. This is educational coaching, not scientific, medical or psychological treatment.

Astrology, Human Design, numerology and cycle syncing. Any astrology, Human Design, numerology, moon or menstrual cycle content is offered for personal reflection and insight only. It is optional, it is not scientifically proven, and it is not medical, health, fertility or predictive advice.

4. Earnings and results disclaimer

We make no promise or guarantee of any income, revenue, profit, sales, clients, followers, engagement, visibility or other result. Any figures shared on the Site or in the Offers, including Stephanie's own income and the results of her clients, are individual experiences. They are not typical, they are not a promise, and they are not a prediction of what you will achieve.

Your results depend on many factors outside our control, including your effort, skills, experience, offer, pricing, market, timing, health, finances and decisions. Many people who buy education or coaching do not achieve significant results. Building a business involves risk, including the risk of losing money.

5. Testimonials

Testimonials and client wins on the Site are real feedback from real clients. They reflect each person's own experience and are not a guarantee that you will have the same experience. Some testimonials may be shortened or edited for length or clarity without changing their meaning.

6. Your responsibility

You are fully responsible for your own decisions, actions and results, and for how you use anything you learn from us. By using the Site or buying an Offer, you agree that we are not responsible for any loss, harm or outcome resulting from your decisions, whether or not they were based on information we provided.

7. Prices, payments and currency

Prices are listed and charged in US dollars (USD) unless the checkout page says otherwise. If your card or bank uses another currency, your card issuer or bank may apply its own exchange rate and foreign transaction fees. These are set by your bank, not by us, and they are your responsibility. You are also responsible for any taxes that apply to your purchase.

Payments are processed securely by third party processors such as Stripe and PayPal. We never see or store your full card number.

By completing a purchase, you authorize us to charge your payment method for the total shown at checkout and for any order bump, upsell or one-click offer you choose to add. One-click offers are charged to the same payment method when you click the button to accept them.

8. Payment plans

Payment plans are a convenience, not a cancellation option. If you choose a payment plan, you are committing to the full price of the Offer and you authorize us to charge every scheduled instalment until the full amount is paid, even if you stop using the Offer, stop attending or decide it is no longer right for you.

If a payment fails, we may retry the charge, pause or remove your access until your account is current, and, where permitted by law, refer the unpaid balance to a collection agency. You agree to pay the reasonable costs of collecting an unpaid balance, to the extent permitted by law.

9. All sales are final: no refunds

Because our digital products, apps, workbooks, recordings and courses are delivered instantly and cannot be returned, and because coaching and program spaces are reserved for you and limited, all sales are final and we do not offer refunds, credits or exchanges. This includes free trials that convert to paid, order bumps, upsells, one-click offers, payment plan instalments, partially used Offers and Offers you choose not to use.

By completing your purchase, you request immediate access and acknowledge that, once access is given, you lose any right to cancel or change your mind, to the fullest extent permitted by law.

Our promise. If you were charged twice by mistake, or if you did not receive access to something you paid for, email steph@soulbiz.com within 14 days of purchase. We will fix the delivery or correct the duplicate charge.

Nothing in these Terms removes any right you have under consumer protection laws that cannot be waived.

10. Chargebacks and payment disputes

You agree to contact us at steph@soulbiz.com and give us a reasonable chance to resolve any concern before contacting your bank or card issuer.

Filing a chargeback or payment dispute for a purchase you authorized and received, or to avoid a payment plan you agreed to, is a breach of these Terms. If a dispute is filed:

✦  we will respond to your bank with evidence of your purchase, including your agreement to these Terms at checkout, order and delivery records, email records, and records of your logins and use of the Offer;

✦  your access to all of our Offers, apps and communities may be suspended or permanently removed; and

✦  you agree to pay any amount found to be owed, plus the dispute fees and reasonable collection costs we incur, to the extent permitted by law.

11. Access to digital products and apps

Your purchase gives you a personal, non-transferable licence to use the Offer for as long as we make it available. We may update, improve, move or replace any Offer, app or platform at any time. Web apps save your work in your own browser or device. You are responsible for keeping your own backups using the backup tools provided, and we are not responsible for lost data, including data lost by clearing your browser, changing devices or using private browsing.

12. Coaching, sessions, audits and programs

Scheduling. Any session or audit included in an Offer must be booked within 60 days of purchase unless we agree otherwise in writing. Sessions not booked within that time may be forfeited without refund.

Rescheduling and no-shows. You may reschedule a session with at least 24 hours' notice. A session missed without 24 hours' notice is forfeited without refund or replacement.

Program length. Programs, mentorships and memberships run for the time stated in the Offer. Time-based programs are not extended or paused because you were unable to take part, unless we agree in writing.

Your agreement. Private mentorship, masterminds, retreats and some programs may also have their own written agreement. If that agreement conflicts with these Terms, that agreement applies to that Offer.

13. Communities, calls and conduct

You agree to be respectful in all calls, groups, chats and communities. We may remove anyone who harasses others, shares other members' information, promotes their own business without permission, or disrupts the experience for others. Removal for breaking these rules does not entitle you to a refund.

What other members share in a group setting is confidential. You agree not to record, screenshot, share or repeat it outside the group. Group calls may be recorded and shared with members. By joining, you consent to being recorded.

14. Intellectual property

All content on the Site and in the Offers is owned by SoulBiz™ or used under licence. This includes videos, audio, text, workbooks, planners, templates, prompts, apps, frameworks, graphics and branding. It is protected by copyright and trademark law. SoulBiz™ is a trademark.

You may use the content for your own personal business use. You may not copy, share, resell, give away, record, upload, teach, license or create competing products from any of it, and you may not share your login or app link with anyone else, without our written permission. Breaching this section ends your access immediately and without refund, and we may take legal action.

15. Your content and communications

If you send us a testimonial, review, message or post in our communities, you give us permission to use it, with your first name and photo if you shared them, in our marketing. You can ask us to stop using it at any time by emailing us.

When you sign up for a free resource or buy an Offer, you agree to receive emails about it and about our other Offers. You can unsubscribe at any time using the link in any email. How we collect and use your information is explained in our Privacy Policy at www.soulbiz.com/privacy-policy.

16. Third party tools and links

The Site and Offers may link to or recommend third party websites, tools, apps and services. Some links may be affiliate links, which means we may earn a commission at no extra cost to you. We are not responsible for third party products, content, privacy practices or results, and your use of them is at your own risk.

17. Disclaimer of warranties

The Site and the Offers are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Site, apps or Offers will be uninterrupted, error free or free of viruses.

18. Limitation of liability

To the fullest extent permitted by law, SoulBiz™, Stephanie Starr and our team members, contractors and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of income, profit, business, data or opportunity, arising from your use of the Site or the Offers, even if we were told such damages were possible.

Our total liability for any claim relating to the Site or the Offers will never be more than the amount you actually paid us for the Offer that the claim relates to in the 12 months before the claim arose.

19. Indemnity

You agree to indemnify and hold harmless SoulBiz™, Stephanie Starr and our team members, contractors and agents from any claim, loss, liability or expense, including reasonable legal fees, arising from your use of the Site or the Offers, your business or decisions, your breach of these Terms, or your violation of any law or anyone else's rights.

20. Disputes, governing law and where claims are heard

If you have a concern, you agree to first email steph@soulbiz.com and try in good faith to resolve it informally for at least 30 days before starting any legal action.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict of law rules, no matter where you live. You agree that any legal action will be brought only in the courts of British Columbia, in Kelowna, and you submit to their jurisdiction.

To the fullest extent permitted by law, you agree that any claim will be brought only on an individual basis, and not as a plaintiff or class member in any class action, collective action or representative proceeding, and you waive any right to a jury trial.

Any claim relating to the Site or the Offers must be brought within one year after it arose, or it is permanently barred, to the extent permitted by law.

21. General

We may update these Terms at any time by posting a new version on this page. The version in effect when you make a purchase applies to that purchase, and the current version applies to your ongoing use of the Site. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce any part is not a waiver. These Terms, together with any written agreement for a specific Offer and our Privacy Policy, are the entire agreement between you and us and replace any earlier terms. You may not transfer your rights under these Terms. Headings are for convenience only.

In these Terms, "SoulBiz™", "Stephanie Starr", "we", "us", "our" and "the Company" include Stephanie Lynn Sargeant personally and any company or business entity through which she operates SoulBiz™, together with their team members, contractors and agents, each of whom is entitled to the protections in these Terms.
